Terms and Conditions

By accessing or using the Parvelo platform, including any software applications, websites, or services operated by Parvelo at www.parvelo.io (collectively, the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you are accessing the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the Service.

Parvelo provides purpose-built golf course management applications for country clubs and public golf courses. The Service includes, but is not limited to:

• Bag Room Management — tools for managing member bag storage, tag assignments, and retrieval workflows
• Additional applications and features that may be released from time to time

Parvelo reserves the right to modify, update, suspend, or discontinue any aspect of the Service at any time, with or without notice.

To use the Service, you must be at least 18 years of age and legally capable of entering into a binding contract. You agree to provide accurate, complete, and current information when creating an account, and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Parvelo immediately at support@parvelo.io if you suspect any unauthorized use of your account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable local, national, or international law or regulation
• Attempt to gain unauthorized access to any part of the Service, or to any system or network connected to the Service
• Transmit any unsolicited or unauthorized advertising, promotional material, or spam
• Introduce viruses, malware, or other harmful code into the Service
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without the express written permission of Parvelo
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Service

The Service and all content, features, and functionality thereof — including but not limited to software, text, graphics, logos, icons, and images — are and remain the exclusive property of Parvelo and its licensors. These materials are protected by copyright, trademark, trade secret, and other applicable intellectual property laws.

Subject to these Terms, Parvelo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations. This license does not include any right to sublicense, modify, or create derivative works of the Service.

You retain ownership of all data, information, and content you submit to or generate through the Service (“User Data”). By submitting User Data, you grant Parvelo a non-exclusive, worldwide, royalty-free license to use, process, store, and display such data solely as necessary to provide and improve the Service.

You represent and warrant that you have all necessary rights to submit User Data and that your User Data does not violate any third-party rights, applicable laws, or these Terms. You are solely responsible for the accuracy, quality, and legality of your User Data.

Your use of the Service is also governed by Parvelo's Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. Parvelo will implement reasonable administrative, technical, and physical safeguards to protect your data.

The Service may integrate with or contain links to third-party services, websites, or applications. Parvelo does not endorse or assume any responsibility for such third-party services. Your use of any third-party service is subject to that party's own terms and conditions. Parvelo shall not be liable for any damages or losses caused by your use of third-party services.

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Parvelo disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Parvelo does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any defects or errors will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results obtained from using the Service will be accurate or reliable.

To the maximum extent permitted by applicable law, in no event shall Parvelo, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on or through the Service
• Any unauthorized access to, use of, or alteration of your transmissions or content
• Any other matter related to the Service

In no event shall Parvelo's total cumulative liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of (a) the amounts paid by you to Parvelo in the twelve (12) months preceding the claim, or (b) one hundred United States Dollars (USD $100).

You agree to indemnify, defend, and hold harmless Parvelo and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) your User Data; or (d) your violation of any third-party rights.

These Terms are effective until terminated. Parvelo may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination: (a) your right to use the Service will immediately cease; (b) Parvelo may delete your account and User Data after a reasonable retention period; and (c) provisions that by their nature should survive termination will survive, including but not limited to Sections 6, 10, 11, 12, and 15.

Parvelo reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting the revised Terms on our website and updating the Effective Date above, or by sending you an email notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the parties are unable to resolve the dispute within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class or representative action.
